MiProfile LLC | Terms of Service Agreement

PARTIES:

This Terms of Service Agreement ("Agreement") is entered into by and between MiProfile LLC, hereinafter referred to as ("MiProfile," "Provider," "we,""us," or "our") and the individual ("Member," "Affiliate," "User," "you," or "your") accessing or using MiProfile's Website ("Hub," "Product," "Dashboard," or "APP"), or that subscribes or upgrades to any Service or Program offered by the Provider, hereinafter referred to as the ("Service Type.")

 

ACCOUNT REGISTRATION & USAGE:

Account Creation: In order to access and use the Product, you need to register a MiProfile account and accept this Agreement. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

 

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify MiProfile immediately of any unauthorized use of your account or any other breach of security.

ACCOUNT PLANS:

MiProfile provides different types of accounts, including a free Startup Account and various paid Pro Accounts. Each account comes with its own set of features, benefits, and pricing.

 

FREE Account Plans: 

Startup Account: Members are automatically subscribed in the Startup Account by default, which includes specific features and limitations. Members possessing expertise and a commendable history are granted the opportunity to act as "Resellers" for MiProfile, selling products and services in exchange for a commission. Prior to representing MiProfile publicly, resellers undergo a selection process and receive training. 

Student Account: Your gateway to a challenging, exciting, and rewarding career, global mobility, flexibility, and good earning potential in the niche of your choice.

 

PAID Account Plans:

 

Pro Accounts: Members have the option to upgrade from the Startup Account to any of the available Pro Accounts. Pro Accounts offer additional features, benefits, and increased revolving credit limits. 

 

SERVICE TYPES: 

MiProfile provides different types of services as part of their campaign to assist entrepreneurs in saving or earning money. Each service type comes with its own distinct features, benefits, and pricing options.

 

MiProfile | Pro-Account Upgrade Service: A professional account is underpinned by a solid ethical foundation, equipping you with the tools to uphold the highest level of professionalism, discipline, and performance as an Entrepreneur. 

MiProfile | Streaming Service: An innovative streaming service meticulously crafted by MiProfile, offers a tailored entertainment experience for the dynamic lifestyles of Entrepreneurs. MiStream revolutionizes the way we consume entertainment by delivering television content over the internet rather than traditional cable or satellite methods.

MiProfile | Voice Service: A modern communication solution that allows members to make calls using the internet rather than traditional phone lines. This service uses Internet Protocol (IP) technology to ensure efficient and high-quality voice communication. Experience clear voice calls, additional features, and cost-effective communication solutions with MiVoice.

MiProfile | Campus: A dynamic online learning environment designed to empower students, entrepreneurs, and professionals alike. Dive into a diverse array of video courses tailored to enhance your knowledge and skills across various fields. Whether you seek to expand your expertise, explore new passions, or advance your career, MiCampus offers a supportive community and engaging learning experiences to help you thrive.

SERVICE TYPE BENEFITS:

Benefits: In consideration of the selected Service Type, the Member shall be entitled to the Service Type Benefits outlined in the Service Description, as detailed in the Provider's Service Documentation.

Changes to Benefits: The Provider reserves the right to modify or adjust the Service Type benefits, with reasonable notice to the Member.

 

TERMS OF SERVICE SUBSCRIPTION: 

This agreement starts on the effective date, which is the date when your subscription was created for the first time. Upon subscribing to any Service Type, the Member automatically becomes bound by the terms and conditions outlined in this Agreement, hereby acknowledging and agreeing to adhere to the terms set forth herein. It will remain in effect unless it is terminated earlier as per the terms outlined in this Agreement.

 

PAYMENT & BILLING:

Payment: The Member agree to pay all fees associated with their selected Service Type upfront, including any applicable taxes. Payments are processed through secure payment gateways.

Billing Cycle: Subscription fees are billed on a recurring basis according to the selected billing cycle (e.g., monthly or annually).

Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle. Members can manage their subscription and disable automatic renewal in their Account Billing Portal.

 

PAYMENT AUTHORIZATION:

Authorization: The Member authorizes the Provider to charge the designated payment method for the agreed-upon subscription fee. The Member understands and agrees that these charges will occur automatically on a recurring basis until the subscription is terminated by either party.

Payment Security: The Provider will take reasonable measures to ensure the security of payment information. However, the Member acknowledges and agrees that the Provider shall not be liable for any unauthorized access to payment information, except in cases of gross negligence or willful misconduct.

TERMINATION AND REFUNDS:

Voluntary Termination: The Member may terminate this Agreement by providing written notice to the Provider at least 60 (sixty) days prior to the desired termination date. No refunds will be provided for the remaining unused portion of the subscription period. 

Involuntary Termination: The Provider reserves the right to terminate the Member’s subscription for violation of the terms of this Agreement or for reasons deemed appropriate by the Provider.

PRIVACY POLICY, CONFIDENTIALITY & DATA PROTECTION:

Information Collection: MiProfile collects and uses Member information in accordance with its Privacy Policy. By using the Product, or subscribing to any Service Type, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Confidential Information: The Member agrees to keep confidential any proprietary information disclosed by the Provider during the term of this Agreement.

Data Protection: The Provider will process and store personal data in accordance with applicable data protection laws. The Member consents to the processing of their personal data for membership-related purposes.

DISPUTE RESOLUTION:

Arbitration: Any dispute arising out of or related to this Agreement or the Service Type will be resolved through binding arbitration, administered by a recognized arbitration service, in accordance with its rules.

Governing Law: This Agreement is governed by and construed in accordance with the laws of the United States. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Delaware.

MISCELLANEOUS:

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements, whether oral or written.

Amendments: This Agreement may be amended by the Provider with notice to the Member.

ELECTRONIC TRANSMISSION CLAUSE:

In an effort to streamline communication and facilitate efficient business transactions, we hereby establish the following clause regarding electronic transmissions, which shall be deemed valid, enforceable, and admissible by all parties involved:

Definition of Electronic Transmission: For the purposes of this agreement, "electronic transmission" refers to communication sent or received through email.

Validity: All electronic transmissions exchanged between the parties in connection with this agreement shall be considered valid and legally binding as if they were in writing and signed by the parties.

Enforce-ability: The parties agree that any electronic transmission containing the terms of this agreement, or any amendments thereto, shall be enforceable in the same manner as a written agreement. No party shall dispute the validity or enforceability of such electronic transmissions based solely on their electronic form.

Admissibility: Electronic transmissions exchanged between the parties may be presented as evidence in any legal proceeding, arbitration, or dispute resolution process. The parties agree not to contest the admissibility of such electronic transmissions on the grounds that they are in electronic form.

Security Measures: The parties shall implement reasonable security measures to ensure the confidentiality and integrity of electronic transmissions. Each party is responsible for taking necessary precautions to safeguard their electronic communications against unauthorized access or tampering.

Consent: By engaging in electronic transmissions, the parties mutually consent to the use of electronic communications for the purpose of conducting business under this agreement.

Revocation of Consent: Either party may revoke their consent to conduct business through electronic transmissions by providing written notice to the other party. Upon revocation, the parties shall revert to conducting business through traditional written communications.

This clause is incorporated into and forms an integral part of this agreement entered into by the parties. It reflects the parties' mutual intent to embrace the use of electronic transmissions as a valid and efficient means of communication.

ELECTRONIC SIGNATURE ACCEPTANCE:

By agreeing to this Agreement, both Parties acknowledge and agree to accept electronic signatures as a valid and legally binding method for signing and executing documents.

The eIDAS Regulation (Regulation (EU) No 910/2014), Article 3(10) defines an electronic signature as follows: electronic signature’ means data in electronic form which is attached to or logically associated with other data in electronic form and which is used by the signatory to sign.

Retention of SES Records: The parties mutually consent to uphold and maintain electronic records of SES in strict adherence to relevant legal and regulatory stipulations.

Execution: By accepting this agreement, you (the Member) hereby acknowledge and express your agreement to abide by the terms and conditions outlined in this agreement. You (the Member) further consents to the use of electronic means for the execution of this agreement and accepts the terms and conditions outlined herein. This electronic signature is binding and effective for all purposes, as permitted by applicable law.

ACKNOWLEDGEMENT FOR CANCELLATION OR MODIFICATION:

The Member acknowledges that they can cancel or change this Agreement by sending written notice to MiProfile LLC at least 60 (sixty) days before the next scheduled payment.
